Hong Kong TCSP License and Trust Company Registration
Applications, acquisitions and core differences

One-stop TCSP license, trust company registration and acquisition consulting services

The TCSP license and trust company registration are under different systems. The TCSP mainly regulates businesses that operate trust or corporate services in Hong Kong; trust company registration, on the other hand, requires compliance with the requirements for company qualifications, paid-up capital, and deposits or bank guarantees under the Trustees Ordinance.

Aiying assists financial institutions, Web3 teams, family offices, and cross-border structure clients in assessing new application, acquisition, or combined holding pathways based on the actual service content, whether they will directly act as trustees, budget, and implementation timeline.

Overview of Licensing and Registration

Understanding the basic concepts of TCSP license and trust company registration

The Hong Kong TCSP (Trust or Company Service Provider License) is a licensing regime implemented under the Anti-Money Laundering and Counter-Terrorist Financing Ordinance (AMLO, Chapter 615) to regulate companies and individuals providing trust or company services in Hong Kong. This license has been issued since March 1, 2018.

important:The TCSP license regulates the provision of trust or corporate services in the form of a business, including acting as or arranging for others to act as trustees; trust company registration is another corporate qualification under Part VIII of the Trustees Ordinance. Whether both apply simultaneously depends on the actual services provided, the company's role, and any relevant exemptions.

Trust company registration is a registration system stipulated in the Trustees Ordinance (Chapter 29), which allows companies to directly act as trustees to manage trust property. Institutions registered as trust companies can provide clients with professional trust management, asset protection, and wealth transfer services.

Key features of a TCSP license

✓ Low entry barrier, no minimum capital requirement

✓ The application period can be estimated at 6 to 8 months based on Aiying's past project experience, depending on the preparation of materials and regulatory review.

✓ Can act as or arrange for others to act as trustees within the scope of TCSP's business.

✓ Suitable for enterprise services and compliance framework support; when VATP-related entities are involved, all SFC conditions must still be met.

✗This is not equivalent to the qualification of a trust company under Part VIII of the Trustee Ordinance.

Key features of trust company registration

✓ Can directly act as trustee

✓ Can directly manage client trust assets

✓Suitable for establishing, managing and arranging trusts as a trustee.

✓ Long history and high reputation of supervision

✗High threshold (HKD 1.5 million guarantee)

✗The initial preparation requirements for company structure, share capital, and designated deposits/bank guarantees are relatively high.

If you choose a TCSP license, you should:
  • Plans to provide trust or corporate services in Hong Kong on a business basis
  • It is necessary to act as or arrange for someone else to act as the trustee of an express trust.
  • We primarily provide services such as company formation, company secretarial services, registered address, nominee arrangements, and trust management.
  • It is necessary to first determine whether the relevant business triggers TCSP license requirements or is subject to statutory exemptions.
If you choose to register a trust company, and you:
  • Business or client requirements necessitate that the company obtain trust company qualification under Part VIII of the Trustee Ordinance.
  • It is necessary to conduct relevant trustee and trust management business in the legal capacity of a registered trust company.
  • It meets the requirement of having not less than HK$3 million in issued and paid-up share capital.
  • A designated deposit of HK$1.5 million, or an equivalent bank guarantee acceptable to the Companies Registry, can be arranged.
  • If TCSP services are also provided as a business, the TCSP license requirements will be assessed separately.
💡 Common paths: Configure individually or in combination according to business needs

Holding both a TCSP license and trust company registration simultaneously is not the optimal solution for all projects. If the business only triggers the TCSP scheme, the TCSP license can be processed first. If trust company qualification under Part VIII of the Trustees Ordinance is required, trust company registration should be assessed, and it should be determined whether a TCSP license is involved at the same time. The order of application should be determined based on the business launch time, capital arrangements, bank requirements, and client needs, and it is not advisable to always adopt the approach of "TCSP first, then trust company."

TCSP and Trust Companies: A Relationship Analysis

To gain a deeper understanding of the relationship, differences, and connections between the two and avoid common misunderstandings.

The company's "business license"

  • Supervisory Authority: Company Registrar
  • Legal basis: Chapter 615 of the Anti-Money Laundering Ordinance
  • Services include: company secretary, registered address, nominee director, etc.
  • Capital requirements: No minimum requirement

Registration Qualifications of Trust Companies under Part VIII of the Trustees Ordinance

  • Supervisory Authority: Company Registrar
  • Legal basis: Chapter 29 of the Trustee Ordinance
  • Scope of business: Acting as trustee to manage trust property
  • Financial requirements: A minimum of HK$3 million in issued and fully paid-up share capital in cash; and an additional HK$1.5 million in designated deposit or an acceptable equivalent bank guarantee.

Key takeaways

Yes, it can be covered . The statutory scope of a TCSP license is not limited to corporate services, but also includes acting as or arranging for others to act as trustees of express trusts or similar legal arrangements in Hong Kong in the form of a business.

However, the TCSP license is not under the same system as trust company registration under Part VIII of the Trustees Ordinance. Whether trust company registration or other regulatory requirements are still required depends on the business role, the services provided, and any relevant exemptions.

Not necessarily. Whether both are required simultaneously depends on the actual services provided, the company's identity, and whether a statutory exemption applies. It cannot be simply divided into "company services" and "trust services".

  • Providing company services in Hong Kong as a business generally requires an assessment of TCSP license requirements.
  • Acting as a trustee in a business capacity or arranging for others to act as trustees also falls under the category of trust services that need to be evaluated under the TCSP system.
  • If a company wishes to obtain trust company status under Part VIII of the Trustees Ordinance, it must also apply for trust company registration and meet its share capital and designated deposit/bank guarantee requirements.

Therefore, the same company may be involved in both TCSP license and trust company registration at the same time; the formal path should be determined item by item according to the specific business process.

There is no fixed order that applies to all projects. The first step should be to confirm the actual business model and whether the TCSP license and trust company registration are triggered separately; if only one of the systems is involved, there is no need to apply for the other one in order of "application order".

  • Regulatory necessity
Confirm which license or qualification is a prerequisite for business launch.
  • Capital preparation
The assessment shall include not less than HK$3 million of issued and cash-paid share capital, and HK$1.5 million of designated deposits or approved bank guarantees.
  • Banks and Operations
Simultaneous consideration of bank accounts, governance personnel, compliance systems, and trustee arrangements
  • Business Schedule
Arrangements based on customer contracts, launch dates, and application or acquisition paths.

The two tasks can be carried out in parallel or in stages, but it should not be assumed that "TCSP should be done first, followed by trust company".

It helps to some extent, but it's not the decisive factor:

  • Having experience in corporate governance, AML/CFT systems, and personnel can reduce preparation work, but the applicant and related personnel still need to separately prove their eligibility according to the Trust Company registration requirements. They will not be automatically approved or exempted from review simply because they already hold a TCSP license.
  • To apply for registration as a Trust Company under Part VIII of the Trustee Ordinance, an assessment must be made of not less than HK$3 million of issued and fully paid-up share capital in cash, and HK$1.5 million in a designated deposit or an acceptable bank guarantee, as required by law; however, the specific application depends on the applicant and the registration process.

The judgment should not be based solely on choosing between "TCSP, Trust Company, or VASP". Instead, it should be based on a breakdown of the actual business activities, customer asset control methods, and service recipients.

  • Operating a centralized virtual asset trading platform:The licensing requirements for VATP in Hong Kong and the regulatory conditions for platform-affiliated entities holding customer assets should be assessed.
  • Offers independent custodian, wallet, or private key management:The applicable VA Custody and related regulatory regimes need to be assessed separately; a TCSP license or Trust Company registration is not sufficient on its own.
  • Offers VA OTC or VA Dealing:The applicable licenses and AML/CFT obligations will be determined separately based on the transaction, matching, quotation, customer asset delivery and payment process.
  • Holding virtual assets through a trust arrangement:Whether the TCSP or Trust Company system is applicable depends on who acts as the trustee and the specific services provided; if both trading and custody are provided, the relevant virtual asset regulatory requirements must be assessed separately.
  • Managing a portfolio of virtual assets or funds:The requirements for SFC asset management and other regulated activities must also be assessed, and cannot be replaced by TCSP or Trust Company.

Judgment principle: First confirm the nature of the business, then combine the required licenses; do not choose a license name first and then fit all virtual asset businesses into it.

Quickly determine which qualification is required based on the specific business scenario.

Business Scenarios TCSP license required Trust company registration is required. Explain
Provide company secretarial services ✔ ✖ TCSP Core Business
Provide registered address service ✔ ✖ TCSP Core Business
Acting as a nominee director/shareholder ✔ ✖ TCSP Core Business
Acting as trustee to manage the trust ✔ ✔ TCSP can act as trustee within its statutory scope of business; Trust Company also has Part VIII registration status.
Managing a family trust ✔ ✔ It must be determined based on the trustee's role, the trust arrangement, and the actual scope of services.
VATP-affiliated entity holds customer assets Conditions Do not judge based on this identity All SFC conditions for related entities must be met; the TCSP license is not an independent escrow authorization.
Holding virtual assets through trust arrangements Depending on the role Depending on the role If transactions, custody, or asset management are involved, relevant regulatory requirements must be assessed separately.
Comprehensive wealth management services Depending on the service Depending on the service It should be determined separately for company services, trust, asset management, and VA activities; it is not necessary to hold both simultaneously.

Whether TCSP and Trust Company are required, and in what order, should be determined based on the proposed business, the actual role, and the regulatory triggering conditions.

TCSP and the Regulatory Boundaries of Virtual Assets

Explain the compliance requirements for VATP-related entities, bank account opening, and phased implementation.

The TCSP license and the VASP/VATP license are not two interchangeable licenses. In the specific customer asset custody structure of an SFC-licensed VATP, the platform must hold customer assets through its affiliated entity, and that affiliated entity must meet the identity and operating conditions stipulated by the SFC.

Applicable scenarios

SFC-licensed VATP holds and holds client assets through affiliated entities.

Related entity conditions

Established in Hong Kong, holding a TCSP license, a wholly-owned subsidiary of the platform, and having completed the relevant regulatory notifications.

Regulatory Boundaries

A standard TCSP license does not constitute an authorization to independently operate a virtual asset custody business.

Regulatory basis: SFC's "Guidelines for Virtual Asset Trading Platform Operators" , especially the definition of related entities and requirements for the custody of customer assets.

A TCSP license only regulates related trust or company services and cannot be used as the sole basis for authorizing the collection of customer funds, the exchange of virtual assets, the operation of VA OTC/VA Dealing, or the provision of independent virtual asset custody. Banks will not determine whether to accept account openings and maintain accounts solely based on whether an account holder holds a TCSP license.

TCSP License Boundaries

It should not be used as a basis to claim that it can provide VA trading, OTC, payment, remittance or independent custody services.

Bank case review

Banks will review actual business operations, regulatory approvals, controlling shareholders, sources and flows of funds, customers, counterparties, and AML/CFT provisions.

Further evaluation is required.

When dealing with fiat currency transactions, quote matching, VA trading, asset transfers, or customer asset custody, VATP, VA Dealing/OTC, VA Custody, MSO, payment, or other systems must be evaluated separately.

Risk warning: Without clear regulatory basis, bank acceptance, and complete control over fund flows, transaction processes such as "customers' Hong Kong dollars are deposited into TCSP accounts and then exchanged for USDT" should not be designed.

Phased implementation can reduce project complexity, but only if each phase involves only the business already authorized at that time. Obtaining a TCSP license first does not guarantee that you can operate VA OTC, VA Dealing, VATP, or an independent VA Custody in advance, nor does it guarantee that you can obtain or maintain bank accounts related to virtual assets.

  • Complete TCSP or other required licenses according to the actual model.
  • Only provide trust or corporate services within the scope of the license.
  • We do not accept customer funds for buying, selling, or exchanging VA.
  • Do not provide independent VA hosting services under the TCSP name.
  • Identify VATP, VA Dealing/OTC, VA Custody, or other applicable pathways.
  • Complete the required regulatory applications, approvals, or license changes.
  • Establish asset segregation, wallets, private keys, AML/CFT, and transaction monitoring.
  • The system will be officially launched only after banks accept actual business transactions and cash flows.

Path principle: If both systems are applicable, they can be prepared in parallel or completed in stages; however, "TCSP first, VASP later" should not be regarded as a substitute for operating virtual asset business first and then obtaining licenses.

FAQs

Quickly answer your most pressing questions

These are not the same system, and cannot be simply distinguished by the statement that "TCSPs cannot directly act as trustees, only trust companies can." A TCSP license is a business license under the Anti-Money Laundering and Counter-Terrorist Financing Ordinance, regulating the provision of trust or corporate services in Hong Kong in a business form, including acting as or arranging for others to act as trustees of express trusts. Trust company registration, on the other hand, is a company qualification under Part VIII of the Trustees Ordinance, requiring not less than HK$3 million in issued and paid-up cash share capital, and HK$1.5 million in designated deposits or approved bank guarantees. Both can be applied simultaneously; the actual path depends on the company's role, the content of services, and whether the services are provided in a business form.

Yes, but only if the same applicant meets the applicable conditions of both systems and continuously fulfills its respective compliance obligations. Whether simultaneous holding is required depends on the trust or company services actually provided by the company, whether trust company qualification under Part VIII of the Trustee Ordinance is required, and the requirements of the client and transaction structure.

The two are not interchangeable, nor is there a fixed application order applicable to all projects. Companies can prepare in parallel or apply in stages as needed, but should not conduct business that has triggered the system before obtaining the corresponding license or qualification.

Based on Aiying License's past project service experience, it is generally recommended to allow approximately 6 to 8 months for the entire process, from preparing the application, personnel and compliance documents, to regulatory review and completion of supplementary documents. This timeframe is based on project planning experience and is not a fixed approval period promised by the Companies Registry; the actual progress depends on the completeness of the application materials, the suitability of the personnel, the number of supplementary documents required, and whether further investigation is needed.

Registered trust companies must have issued share capital of not less than HK$3 million, with the directors confirming that not less than HK$3 million of this capital has been paid up in cash. In addition, they must maintain a designated deposit of HK$1.5 million, or submit a bank guarantee of equivalent value acceptable to the Companies Registry; one of the two must be chosen. The HK$3 million requirement pertains to company share capital, while the HK$1.5 million requirement pertains to the designated deposit or bank guarantee. These are different in nature and should not be simply described as a "HK$450 million margin deposit." Professional liability insurance cannot substitute for this requirement.

It can be one of the conditions in a specific regulatory framework, but the TCSP license itself is not the same as a virtual asset custody license, nor can it be used as the sole basis for authorizing the operation of VASP, VATP or independent virtual asset custody business.

In the SFC-licensed VATP customer asset custody structure, the platform must hold customer assets through its affiliated entities. According to the current VATP Guidelines, such affiliated entities must be incorporated in Hong Kong, hold a TCSP license, be wholly owned subsidiaries of the platform operator, and complete the relevant regulatory notifications; they must also comply with the SFC's requirements on asset segregation, wallets, private keys, internal controls, and risk management.

Therefore, ordinary TCSP-licensed companies cannot claim to independently provide virtual asset custody solely based on their TCSP license. Other VA Custody business models still need to be separately evaluated under the SFC, HKMA, or other applicable regulatory regimes.

That's not the correct way to judge. A "VA account" is not a single regulatory license category; a TCSP license only reflects that the licensee is authorized to operate related trust or company services under AMLO, and does not constitute a guarantee for opening a bank account, nor does it replace the authorization required for virtual asset trading, custody or other regulated activities.

Banks will review the actual business model, applicable regulatory licenses, shareholders and controllers, sources and flows of funds, customers and counterparties, regions involved, AML/CFT regimes, and system capabilities on a case-by-case basis. If the business triggers SFC, HKMA, or other regulatory requirements, the corresponding licenses or approvals must still be obtained; a TCSP license alone cannot presume that the relevant account can be opened or maintained.

Acquisitions typically take 3-4 months, saving 3-4 months compared to applying for a new application. A more significant advantage is the immediate access to an existing customer base, established banking relationships, and operational teams, enabling immediate operation. However, acquisition costs vary depending on factors such as the target company's customer base and business scale, requiring comprehensive due diligence.

The ongoing compliance requirements differ between the two. TCSP licensees must renew their licenses and pay related fees according to the licensing regime, and continue to comply with AML/CTF, client due diligence, record keeping, and material change reporting requirements. Registered trust companies, on the other hand, must continue to meet the qualification and financial requirements under the Trustees Ordinance, including maintaining a designated deposit of HK$1.5 million or a valid bank guarantee, and fulfilling company registration and other applicable reporting obligations. Trust companies do not have a uniform fixed annual renewal fee standard; specific annual costs should be calculated based on the company's circumstances and the official fees for the current period.
